Terms
These terms apply to the use of Wisalix, a service of Codentia Technologies LLC, Cairo, Egypt, by companies (business customers only).
1. The service
Wisalix is a cloud service for managing clients, sales, communication, contracts, payments and service. Each customer company gets its own workspace with its own database. The functions depend on the plan chosen and the apps switched on.
2. Contract and trial
The contract is concluded when a company signs up or accepts an offer. A new company may test the service free of charge during the trial period stated on the pricing page. Without a paid plan after the trial, the workspace becomes read only and is later suspended; its data is kept for the period stated on the pricing page and can be exported.
3. Prices and payment
The prices of the chosen plan apply, plus VAT. They are charged in advance for each billing period, by invoice or by card. If a payment is overdue, we may restrict the workspace to reading after a reminder.
4. Customer duties
The customer keeps sign in details secret, uses the service only lawfully, is responsible for the data it stores and for having a legal basis to process it, and does not overload or attack the service.
5. Availability and support
We operate the service with care and aim for high availability; maintenance is announced where possible. Support is available by e-mail at [...].
6. Data
The customer remains owner of its data. We process personal data on the customer's behalf under the data processing agreement. The customer can export its data at any time and after the contract ends.
7. Liability
We are liable without limitation for intent and gross negligence and for injury to life, body or health. For slight negligence we are liable only for breach of essential contractual duties and limited to the damage typical and foreseeable for this kind of contract. Liability under mandatory statutory provisions remains unaffected.
8. Term and termination
Contracts run for the billing period chosen and renew automatically unless terminated before the end of a period. The right to terminate for good cause remains unaffected.
9. Final provisions
The law of [...] applies, excluding the UN Convention on Contracts for the International Sale of Goods. Place of jurisdiction is [...], where permitted by law. Mandatory data protection law of the customer's country remains unaffected.
